● The Validity of this IO is open till the date
any of the parties notify the other party to dismiss the agreement within 7
days’ prior notice in written with relevant facts & evidence thereof
● The terms
& condition of the contract being applicable for both parties in the
contract. Any disputes are subjected to the jurisdiction of District Courts of
Gurugram, Haryana.

In case of
any dispute regarding number/conversion, the number provided by the Advertiser
will be final subject to valid evidence thereof.
●
This
is Insertion Order that regulates the relationship between GrowMore Services.
acting as the Advertiser and the Publisher.
● This Insertion Order together with the Terms and Conditions are governing the relationship between the signatories of this Insertion Order.
●
For purposes hereof, a “Qualified Install”
means an install and open by an end user of an application available from
Access Points that (i) is not computer generated, including by a robot, spider,
computer script, or other similar automated, artificial, or fraudulent methods;
(ii) is completed within the time period allowed by GrowMore in its sole
discretion; and (iii) is not determined by GrowMore in its sole
discretion to be fraudulent, incomplete, unqualified, or duplicative
● Reporting. Company will provide Publisher with reports on Confirmed Leads. Reports will be based on data provided by Company. Publisher may use its own tracking methods, typically a pixel. If there is a discrepancy in the reported Confirmed Leads, the parties will negotiate in good faith to determine the correct number of Confirmed Leads. Invoices. Invoices submitted to Company and payments made to Publisher shall be based on the Confirmed Leads as reported by Company.

GrowMore reserves the right to charge back,
at any time, any Commissions attributable to Qualified Installs that are later
determined to have not met the requirements for a Qualified Install. GrowMore will be entitled to repayment of
all royalties, commissions, remunerations or other benefits which Publisher
realizes in connection with any activity that GrowMore finds to be fraudulent or harmful
to GrowMore brand and reputation or causes any disrepute with
clients. Such remedy shall be in addition to GrowMore’s other available legal and
equitable remedies for such breach.
●
Minimum Payment threshold in “INR” 10000 INR and in “USD” $300.
Publisher can generate invoice after completing minimum threshold amount 10000
INR or 300$ and validation will not be affected due to minimum threshold
amount.
●
Payment.
Company shall pay any amounts due 30 days after the end of the month that leads
were generated, withhold payments until such time as the Advertiser has paid
Company for any Program and or offset previous payments made to publisher as a
result of any non-payment by an advertise.
●
Deliverables
will be approved and paid for based on Advertiser’s numbers.
